Terms and Conditions (for Voytex.uk – wholesale B2B business in the UK and Poland)
- General These Terms and Conditions set out the rules for using the Voytex.uk website, placing wholesale orders and providing services to business-to-business (B2B) customers.
By registering or placing an order on the Voytex.uk website, you accept these terms and conditions.
Voytex.uk operates exclusively on a Business-to-Business (B2B) model. - Definitions Seller: Voytex, Wembley, London, UK.
Buyer: A business entity purchasing goods from Voytex.uk for commercial purposes.
Goods: Wholesale products offered by the Seller or as an intermediary.
Order: The Buyer’s offer to purchase the Goods.
Contract: A legally binding agreement between the Seller and the Buyer. - Registration and Account In order to place orders, the Buyer must create a company account and provide true company details (name, VAT number, registration number).
Voytex.uk reserves the right to verify the Buyer’s business status.
The Buyer is responsible for maintaining the confidentiality of the login details. - Ordering and Contract Conclusion Orders can be placed via the website, e-mail or by telephone.
The contract is concluded when the Seller confirms the order by e-mail or invoice.
The Seller may refuse an order without giving reasons. - Prices and Payment All net prices are quoted in GBP (£) and are exclusive of VAT unless otherwise stated.

- Inspection and Complaints The Buyer is obliged to inspect the Goods upon delivery.
Any complaints regarding quantity, defects or damage must be reported in writing within 3 working days.
Failure to report within the time limit shall mean acceptance of the Goods. - Warranty and Liability The Goods are sold as described; any warranty is limited to the manufacturer’s warranty (if applicable).
The Seller’s liability is limited to the value of the Goods.
The Seller shall not be liable for lost profits, business downtime or indirect damages. - Returns Returns are only accepted with the prior agreement of the Seller only.
Goods returned must be unused, in their original packaging and fit for resale.
Handling charges may apply. The transport costs for returning the goods shall be borne by the buyer. - Force Majeure The Seller shall not be liable for any failure to perform obligations caused by circumstances beyond its control, such as natural disasters, strikes, supply chain disruptions, etc.
- Data Protection The Seller shall process the Buyer’s data in accordance with the Privacy Policy and applicable UK data protection law.

Use without permission is prohibited. - Governing Law and Jurisdiction These Terms and Conditions shall be governed by the laws of England and Wales.
Any disputes will be dealt with by the courts of England and Wales. - Changes to Terms and Conditions Voytex.uk reserves the right to change these Terms and Conditions at any time.

- Export and Customs Clearance For shipments outside the UK, we provide all documentation required for customs clearance (commercial invoices, export declarations). The buyer is responsible for any duties, taxes or customs charges due in the destination country.
- Anti-Corruption and Business Ethics Voytex.uk complies with the UK Bribery Act 2010 and has a zero tolerance policy towards corruption, bribery and unethical business practices.
All partners and Buyers are committed to high ethical standards. - Fair Competition and Prohibition of Circumvention The Buyer agrees not to circumvent Voytex.uk by dealing directly with suppliers or third parties met through the platform without prior written consent. Any attempt to circumvent business arrangements may result in account closure and legal proceedings.
- Platform Usage Rules Access to and use of the Voytex B2B Trade Portal & Marketplace platform is subject to fair use rules. Automatic downloading of data, so-called scraping, or abuse of the system infrastructure is prohibited. Users may not post misleading or illegal content.
- Severability Clause If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Entire Agreement These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements and representations.
- Language These Terms and Conditions are available in English and Polish. In case of discrepancies, the English version shall prevail.
- Terms and Conditions of the Marketplace The Voytex B2B Trade Portal & Marketplace functions as a digital platform where registered companies can publish wholesale offers, product enquiries, catalogues and trade in a B2B model.
Marketplace users are obliged to:
- publish only genuine, truthful commercial offers;
- update product availability and prices in real time;
- conduct business correspondence in a professional manner;
- not offer products prohibited by UK or EU law;
- comply with all applicable international trade regulations, including embargoes, sanctions, export licences.
Voytex.uk is not responsible for content posted by users, but reserves the right to moderate or remove content in the event of violations.
Voytex Marketplace is not a party to transactions between users – it acts as a digital intermediary. However, in the event of commercial disputes, the platform may offer mediation or redirect parties to appropriate arbitration bodies in the UK.
Voytex.uk reserves the right to review, suspend or delete the account of any user who violates Marketplace rules, acts unethically or acts to the detriment of the platform or other users.
Any marketing, advertising or promotional activity on the Marketplace is subject to prior approval from Voytex.uk and compliance with the platform’s commercial policies.
